TERMS OF USE

THESE TERMS OF USE ("TOU" OR "AGREEMENT") ARE A LEGAL AGREEMENT BETWEEN YOU ("YOU" OR "USER") AND BIBLIOTHECA GROUP GMBH ("BIBLIOTHECA") REGARDING YOUR ACCESS TO ACCESS TO AND USE OF THE BIBLIOTHECA CLOUD LIBRARY SERVICES ("SERVICES"), INCLUDING ANY UPDATES, UPGRADES AND SUPPLEMENTS THERETO.  BY USING THE SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.  IF YOU DO NOT WISH TO ACCEPT THESE TERMS OF SERVICE, YOU ARE PROHIBITED FROM USING THE SERVICES. 

BIBLIOTHECA RESERVES THE RIGHT TO MODIFY, SUSPEND OR TERMINATE THE SERVICES WITHOUT NOTICE.  IN ADDITION, BIBLIOTHECA MAY MODIFY THE TOU WITHOUT PRIOR NOTICE AND SUCH MODIFICATIONS WILL BECOME EFFECTIVE IMMEDIATELY UPON POSTING ON THIS SITE  (http://download.yourcloudlibrary.com/apps/CloudLibrary_TOU.html)  . YOU AGREE TO REVIEW THE POSTED TOU PERIODICALLY TO DETERMINE IF MODIFICATIONS HAVE BEEN MADE.  BY CONTINUING TO USE THE SERVICES AFTER MODIFICATIONS ARE POSTED, YOU WILL BE DEEMED TO HAVE ACCEPTED THE MODIFIED TOU.  IF CONSENT IS REQUIRED YOU WILL BE PROVIDED WITH AN OPPORTUNITY TO AGREE TO THESE TERMS.

COPYRIGHT NOTICE:  EBOOKS AND OTHER MATERIALS DOWNLOADED OR OTHERWISE ACCESSED THROUGH THE SERVICES ARE COPYRIGHTED MATERIALS PROTECTED BY STATE, FEDERAL AND INTERNATIONAL REGULATIONS, LAWS AND TREATIES.  UNAUTHORIZED COPYING OR USE OF SUCH MATERIALS, AND ANY ATTEMPT TO DEFEAT OR OTHERWISE CIRCUMVENT ANY DIGITAL RIGHTS MANAGEMENT OR SECURITY FEATURES ASSOCIATED WITH SUCH MATERIALS, IS STRICTLY PROHIBITED.   

1.      The Services .  The Services enable you to browse, download, listen to and read eBooks, audiobooks and other materials ("Lending Materials") using a compatible e-reader, mobile device or personal computer  ("Compatible Device")  and approved application software  ("Application Software") .  The Services are for your personal, non-commercial use only.  Reproduction, distribution, performance, display and creation of derivative works of the Lending Materials, in any mode or media (including but not limited to transfer to optical media, such as CDs or DVDs, and sharing of Lending Materials with others via file sharing services or email) are strictly prohibited.  All rights not expressly granted herein are reserved to Bibliotheca and its licensors. The Services are not intended for use by any person under the age of 13 without the express, written consent of a parent or legal guardian.   

2.      Lending Policies . The Services are provided in cooperation with approved libraries and lending institutions ("Lenders").  In order to access and use the Services, you are required to maintain a current account with your selected Lender.  Selection and availability of Lending Materials is at the sole discretion of your Lender, and is subject to the policies and rules established by your Lender, including any applicable dues, charges or fees. ("Lending Policies").   For further information regarding applicable Lending Policies, please contact your selected Lender.  

3.      Lending Term . Your right to access and use Lending Materials will expire upon the earlier of (i) expiration or termination of this Agreement; and (ii) the end of the lending term as established by your Lender ("Lending Term").  You agree to cease all use of and delete all copies of the Lending Materials upon such expiration, and acknowledge that the Services, the Application Software and/or the Lending Materials may include digital rights management technologies that delete, disable or otherwise inhibit use of Lending Materials upon such expiration.  

4.      Term and Termination  

a.      This Agreement is effective as of your first use of the Services and shall remain in effect until: (a) this Agreement is superseded by the posting of modified TOU on this site; or (b) termination by you or Bibliotheca as provided herein.

b.      This Agreement will terminate immediately and without notice upon your breach of any material term thereof, or of your Application Software end user license agreement.  In addition, Bibliotheca may terminate this agreement, with or without cause, upon thirty (30) days written notice, which notice may be provided through the Services or by email at the address that you provide in your Account Information.  You may terminate this Agreement at any time by deleting your account and ceasing all further use of the Service.  Upon termination of this Agreement by you or Bibliotheca in accordance herewith, your right to access and use the Services and any Lending Materials provided hereunder shall cease, and you agree to cease use of and delete any Lending Materials in your possession and control.

5.      Account Information .  You represent and warrant that all account information provided by you ( "Account Information" ) is true and accurate and that you will update this information in order to keep it current, complete and accurate.  Account information that you submit to the Services will be processed and stored in the United States by Bibliotheca and/or and Bibliotheca's service providers.  You may change or delete your contact information at any time by your account page. Account information submitted to the Services may be retained by Bibliotheca or its service provider(s) in accordance with the Bibliotheca Privacy Policy  

6.      User Names and Passwords.   You agree that any usernames and passwords associated with your account are confidential information solely for your use, and that you are responsible for any access to or use of the Services using your username and password. You agree to notify Bibliotheca immediately if you learn of an unauthorized use of your account.

7.      Accessing the Services .  Use of the Services requires you to be connected to the Internet. You are solely responsible for obtaining and maintaining, at your own cost and expense, an Internet connection suitable for the purpose of accessing and using the Services. YOU ACKNOWLEDGE THAT THE SERVICES MAY NOT BE AVAILABLE AT ALL TIMES AND WITHOUT INTERRUPTION. YOU AGREE THAT BIBLIOTHECA AND ITS SERVICE PROVIDERS ARE NOT RESPONSIBLE FOR LOSS OF SERVICES OR FUNCTIONALITY DUE TO SLOW OR UNRELIABLE INTERNET CONNECTIONS. BIBLIOTHECA AND ITS SERVICE PROVIDERS DO NOT GUARANTEE THE SERVICES WILL BE FREE OF LOSS, VIRUS, CORRUPTION OR ERROR.

8.      Intellectual Property . Bibliotheca and its licensor(s) own and retain all intellectual property rights in the Services, Lending Materials, and all associated software, copyrights, trademarks, brands, service marks, patents or other proprietary rights under law, including all intellectual property conceived during and in the course of performing the Services. You are permitted to use the Services only as specifically authorized herein

9.      DISCLAIMER OF WARRANTY .  THE SERVICES AND LENDING MATERIALS ARE PROVIDED "AS IS", AND BIBLIOTHECA, ITSELF AND ON BEHALF OF ITS LICENSORS AND SERVICE PROVIDERS, DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, THE WARRANTY OF NON-INFRINGEMENT AND ANY IMPLIED WARRANTY ARISING OUT OF A COURSE OF DEALING, A CUSTOM OR USAGE OF TRADE.  WITHOUT LIMITING THE FOREGOING, BIBLIOTHECA, ITS LICENSORS AND SERVICE PROVIDERS, MAKE NO WARRANTY THAT THE SERVICES AND LENDING MATERIALS WILL MEET YOUR REQUIREMENTS, (B) WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) WILL BE EFFECTIVE, ACCURATE, COMPLETE, CURRENT OR RELIABLE, OR (D) WILL MEET YOUR EXPECTATIONS OR BE FREE FROM MISTAKES, ERRORS OR DEFECTS.  USE OF THE SERVICES, AND THE ACQUISITION OF ANY MATERIALS OR CONTENT THROUGH THE SERVICES, INCLUDING BUT NOT LIMITED TO LENDING MATERIALS, IS DONE AT YOUR OWN RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY INJURY OR DAMAGE RELATED THERETO.

10.    MCGRAW-HILL CONTENT . MEDICINE IS AN EVER-CHANGING SCIENCE. AS NEW RESEARCH AND CLINICAL EXPERIENCE BROADEN OUT KNOWLEDGE, CHANGES IN TREATMENT AND DRUG THERAPY ARE REQUIRED. IN VIEW OF THE POSSIBILITY OF HUMAN ERROR OR CHANGES IN MEDICAL SCIENCES, NEITHER BIBLIOTHECA, MCGRAW-HILL NOR THEIR LICENSORS WARRANTS THAT THE INFORMATION CONTAINED IN THE MCGRAW-HILL CONTENT IS IN EVERY RESPECT ACCURATE OR COMPLETE, AND THEY ARE NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS OR THE RESULTS OBTAINED FROM THE USE OF SUCH INFORMATION. USERS ARE ENCOURAGED TO CONFIRM THE INFORMATION CONTAINED IN THE MCGRAW-HILL CONTENT WITH OTHER SOURCES. FOR EXAMPLE, AND IN PARTICULAR, USERS ARE ADVISED TO CHECK THE PRODUCT INFORMATION SHEET INCLUDED IN THE PACKAGE OF EACH DRUG THEY PLAN TO ADMINISTER TO BE CERTAIN THAT THE INFORMATION CONTAINED IN THE MCGRAW-HILL CONTENT IS ACCURATE AND THAT CHANGES HAVE NOT BEEN MADE IN THE RECOMMENDED DOSE OR IN THE CONTRAINDICATIONS FOR ADMINISTRATION. THIS RECOMMENDATION IS PARTICULARLY IMPORTANT IN CONNECTION WITH NEW OR INFREQUENTLY USED DRUGS. NEITHER BIBLIOTHECA, MCGRAW-HILL NOR THEIR LICENSORS SHALL BE LIABLE TO USER OR TO ANY USER OR ANYONE ELSE FOR ANY INACCURACY, DELAY, INTERRUPTION IN SERVICE, ERROR OR OMISSION, REGARDLESS OF CAUSE, OR FOR ANY DAMAGES RESULTING THEREFROM.  

11.    LIMITATION OF LIABILITY .  TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIBLIOTHECA, ITS LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DAMAGES INCLUDING, WITHOUT LIMITATION, DIRECT, SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF BUSINESS OR CONFIDENTIAL INFORMATION, LOSS OF PRIVACY, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE AND ANY RELATED PRODUCTS AND SERVICES, EVEN IF BIBLIOTHECA, ITS LICENSORS AND/OR SERVICE PROVIDERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT THE CUMULATIVE LIABILITY OF BIBLIOTHECA, ITS LICENSORS AND/OR SERVICE PROVIDERS ARISING FROM THE SERVICE, THE SITE OR THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATIONS OF LIABILITY, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.   

12.    Collection and Use of Information .  Collection and use of your personal information, including Account Information and information provided through your Application Software, is governed by the  Bibliotheca Cloud Library Privacy Policy . In addition, Bibliotheca may share your personal information with Lenders and service providers in order to provide the Services, confirm your Lender account status, confirm compliance with this Agreement and applicable Lending Policies, and to communicate with you about the Services and your account.

13.    Indemnification .  You agree to indemnify and hold Bibliotheca, its parents, subsidiaries, affiliates, service providers, officers and employees, harmless from any liabilities, claims, expenses or demands, including reasonable attorneys' fees and costs, made by any third party due to or arising out of: (a) your use or misuse of the Services; (b) any use of the Services in violation of laws, rules, regulations or the TOU; and  (c) your use of the Services to infringe any intellectual property or any other right of any person or entity. Bibliotheca and its service providers reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate in asserting any available defenses.

14.    Governing Law and Attorneys Fees . This Agreement is governed by the laws of the State of Minnesota, USA, excluding its conflict of laws rules, and specifically excluding the United Nations Convention on Contracts for the International Sale of Goods. User consents to jurisdiction and venue in the state and federal courts located in Ramsey County, Minnesota, USA, and agrees that all disputes arising from this Agreement shall be venued exclusively in such courts. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, the prevailing party will be entitled to recover its costs, including reasonable attorneys' fees.

15.    Third Party Beneficiaries .  You acknowledge that the Services may be provided by third party service providers, in whole or in part, and agree that such service providers are intended to be the beneficiaries of this Agreement with the right to enforce the terms of the Agreement directly against Users.

16.    General .  Bibliotheca and its service providers will not be responsible for any delay in providing the Services due to conditions beyond their reasonable control. If any provisions in the TOU are, for any reason, held invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, such provisions will be deemed severable and such invalidity, illegality or un-enforceability will not affect any other provisions, all of which will be enforced.  This Agreement constitutes the entire agreement and understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings of the parties with respect thereto. No Party has relied on any warranty or other statement not included herein.  Failure by Bibliotheca to require strict performance will not be a waiver of a Bibliotheca's right subsequently to require such strict performance. All representations, warranties, indemnifications, and other covenants contained herein will survive to the full extent necessary to protect the Party in whose favor they run.  This Agreement may not be transferred or assigned without the express, written consent of Bibliotheca.

LES PRÉSENTES CONDITIONS D’UTILISATION (LES « CONDITIONS D’UTILISATION » OU LE « CONTRAT ») CONSTITUENT UN ACCORD JURIDIQUE ENTRE VOUS (« VOUS » OU L’« UTILISATEUR ») ET LE GROUPE BIBLIOTHECA GMBH (« BIBLIOTHECA ») RELATIVEMENT À VOTRE ACCÈS AUX SERVICES BIBLIOTHÉCAIRES INFONUAGIQUES DE BIBLIOTHECA (LES « SERVICES », Y COMPRIS LES MISES À JOUR, LES MISES À NIVEAU ET LES COMPLÉMENTS, ET À VOTRE UTILISATION DE CEUX-CI.  EN UTILISANT LES SERVICES, VOUS ACCEPTEZ D’ÊTRE LIÉ PAR LES PRÉSENTES CONDITIONS.  SI VOUS NE SOUHAITEZ PAS ACCEPTER CES CONDITIONS D’UTILISATION, IL VOUS EST INTERDIT D’UTILISER LES SERVICES.  

BIBLIOTHECA SE RÉSERVE LE DROIT DE MODIFIER, DE SUSPENDRE OU DE RÉSILIER LES SERVICES SANS PRÉAVIS.  DE PLUS, BIBLIOTHECA PEUT MODIFIER LES CONDITIONS D’UTILISATION SANS PRÉAVIS, ET CES MODIFICATIONS ENTRENT EN VIGUEUR DÈS LEUR PUBLICATION SUR LE SITE (http://download.yourcloudlibrary.com/apps/CloudLibrary_TOU.html)  . VOUS ACCEPTEZ DE CONSULTER RÉGULIÈREMENT LES CONDITIONS D’UTILISATION POUR DÉTERMINER SI DES MODIFICATIONS ONT ÉTÉ APPORTÉES.  EN CONTINUANT D’UTILISER LES SERVICES APRÈS LA PUBLICATION DE MODIFICATIONS, VOUS ÊTES RÉPUTÉ COMME AYANT ACCEPTÉ LES CONDITIONS D’UTILISATION MODIFIÉES.  SI UN CONSENTEMENT EST REQUIS, VOUS AUREZ L’OCCASION D’ACCEPTER LES CONDITIONS.

AVIS DE DROIT D’AUTEUR :  LES LIVRES NUMÉRIQUES ET LE MATÉRIEL TÉLÉCHARGÉ OU CONSULTÉ AUTREMENT GRÂCE AUX SERVICES CONSTITUENT DU MATÉRIEL PROTÉGÉ PAR LE DROIT D’AUTEUR EN VERTU DE RÈGLEMENTATIONS, DE LOIS ET DE TRAITÉS D’ÉTAT, FÉDÉRAUX ET INTERNATIONAUX.  LA COPIE OU L’UTILISATION NON AUTORISÉE DE CE MATÉRIEL AINSI QUE TOUTE TENTATIVE DE CONTOURNER LES FONCTIONNALITÉS DE SÉCURITÉ OU DE GESTION DES DROITS NUMÉRIQUES ASSOCIÉES AU MATÉRIEL SONT STRICTEMENT INTERDITES.  

1.      Les services.   Les services vous permettent de parcourir, de télécharger, d’écouter et de lire des livres numériques, des livres audio et d’autre matériel (le « matériel de prêt ») à l’aide d’une liseuse, d’un appareil mobile ou d’un ordinateur personnel (un « appareil compatible ») et d’un logiciel d’application approuvé (le « logiciel d’application ») .  Les services sont destinés à votre usage personnel et non commercial uniquement.  La reproduction, la distribution, l’interprétation, l’affichage et la création d’œuvres dérivées du matériel de prêt, quel que soit le mode ou le support (y compris, mais s’y limiter, le transfert sur support optique, comme des CD ou des DVD, ainsi que le partage du matériel de prêt avec d’autres personnes par des services de partage de fichiers ou par courriel) sont strictement interdits.  Tous les droits qui ne sont pas explicitement octroyés par les présentes sont réservés à bibliotheca et à ses concédants de licence. Les services ne sont pas conçus pour être utilisés par des personnes de moins de 13 ans sans le consentement explicite par écrit d’un parent ou d’un tuteur légal.  

2.      Politiques de prêt. Les services sont fournis en collaboration avec les bibliothèques et les établissements de prêt approuvés (les « prêteurs »).   Afin d’accéder aux services et de les utiliser, vous devez tenir un compte à jour auprès du prêteur de votre choix.  La sélection et la disponibilité du matériel de prêt sont à la discrétion exclusive de votre prêteur et dépendent des politiques et des règles établies par votre prêteur, y compris les redevances ou les frais applicables  (les « politiques de prêt »).    Pour en savoir plus sur les politiques de prêt applicables, veuillez communiquer avec votre prêteur. 

3.      Période de prêt. Votre droit d’accéder au matériel de prêt et de l’utiliser expire i) à l’expiration ou la résiliation du présent contrat ou ii) à la fin de la période de prêt établie par votre prêteur (la « période de prêt »), selon la première éventualité.  Vous acceptez de cesser toute utilisation du matériel de prêt et de supprimer toutes les copies du matériel de prêt au moment de cette expiration, et vous reconnaissez que les services, le logiciel d’application ou le matériel de prêt peuvent contenir des technologies de gestion des droits numériques qui suppriment ou désactivent le matériel de prêt au moment de l’expiration ou en empêchent autrement l’utilisation. 

4.      Durée et résiliation.   

a.      Le présent contrat entre en vigueur dès votre première utilisation des services et demeure en vigueur : a)  jusqu’à ce que le présent contrat soit remplacé par la publication de conditions d’utilisation modifiées sur le site ou b) jusqu’à sa résiliation par vous ou bibliotheca comme convenu dans les présentes.

b.      Le présent contrat prend fin immédiatement et sans préavis en cas de violation, par vous, d’une clause substantielle de celui-ci ou du contrat de licence d’utilisation de votre logiciel d’application.  De plus, bibliotheca peut résilier le présent contrat, avec ou sans cause, sur présentation d’un avis écrit de trente (30) jours au moyen des services ou par courriel à l’adresse que vous fournissez dans les renseignements de votre compte.  Vous pouvez résilier le présent contrat à tout moment en supprimant votre compte et en cessant d’utiliser le service.  À la résiliation du présent contrat par vous ou bibliotheca conformément aux présentes, votre droit d’accès aux services et au matériel de prêt et d’utilisation de ceux-ci par les présentes cesse, et vous acceptez de cesser d’utiliser et de supprimer le matériel de prête que vous possédez et contrôlez.

5.      Renseignements du compte.   Vous affirmez et garantissez que tous les renseignements du compte que vous fournissez (les « renseignements du compte ») sont véridiques et exacts et que vous les mettrez à jour afin qu’ils demeurent actuels, complets et exacts.  Les renseignements du compte que vous soumettez aux services seront traités et stockés aux États-Unis par bibliotheca ou les fournisseurs de services de bibliotheca.  Vous pouvez modifier ou supprimer vos coordonnées à tout moment à partir de la page de votre compte. Les renseignements du compte fournis aux services peuvent être conservées par bibliotheca ou ses fournisseurs de service conformément à la politique de confidentialité de bibliotheca.  

6.      Noms d’utilisateur et mots de passe.   Vous acceptez que les noms d’utilisateur et les mots de passe associés à votre compte constituent des renseignements confidentiels destinés exclusivement à votre utilisation et que vous êtes responsable de l’accès aux services ou de leur utilisation avec votre nom d’utilisateur et votre mot de passe. Vous acceptez d’informer immédiatement bibliotheca si vous découvrez une utilisation non autorisée de votre compte.

7.      Accès aux services.   L’utilisation des services nécessite une connexion Internet. Vous êtes le seul responsable de l’obtention et du maintien, à vos frais, d’une connexion Internet convenable pour l’accès aux services et leur utilisation. VOUS COMPRENEZ QUE LES SERVICES PEUVENT NE PAS ÊTRE ACCESSIBLES EN TOUT TEMPS ET SANS INTERRUPTION. VOUS ACCEPTEZ QUE BIBLIOTHECA ET SES FOURNISSEURS DE SERVICES NE SONT PAS RESPONSABLES DES PERTES DE SERVICES OU DE FONCTIONNALITÉS CAUSÉES PAR DES CONNEXIONS INTERNET LENTES OU PEU FIABLES. BIBLIOTHECA ET SES FOURNISSEURS DE SERVICES NE GARANTISSENT PAS QUE LES SERVICES SONT EXEMPTS DE PERTES, DE VIRUS, DE CORRUPTION OU D’ERREURS.

8.      Propriété intellectuelle. bibliotheca et ses concédants de licence possèdent et conservent tous les droits de propriété intellectuelle sur les services, le matériel de prêt ainsi que tous les logiciels, droits d’auteurs, marques de commerce, marques, marques de service, brevets ou autres droits exclusifs prévus par la loi qui y sont associés, y compris la propriété intellectuelle conçue pendant l’exécution des services et dans le cadre de celle-ci. Vous êtes autorisé à utiliser les services uniquement conformément aux présentes autorisations.

9.      EXCLUSION DE GARANTIE.   LES SERVICES ET LE MATÉRIEL DE PRÊT SONT FOURNIS « TEL QUEL », ET BIBLIOTHECA, EN SON NOM ET EN CELUI DE SES CONCÉDANTS DE LICENCE ET FOURNISSEURS DE SERVICES, DÉCLINE TOUTE GARANTIE, EXPLICITE OU IMPLICITE, Y COMPRIS, MAIS SANS S’Y LIMITER, TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE OU D’ADÉQUATION À UN USAGE PARTICULIER, TOUTE GARANTIE D’ABSENCE DE CONTREFAÇON AINSI QUE LES GARANTIES IMPLICITES DÉCOULANT D’UNE CONDUITE HABITUELLE, D’UNE PRATIQUE OU D’UN USAGE DU COMMERCE.  SANS LIMITER LA PORTÉE DE CE QUI PRÉCÈDE, BIBLIOTHECA, SES CONCÉDANTS DE LICENCE ET SES FOURNISSEURS DE SERVICES NE GARANTISSENT AUCUNEMENT QUE LES SERVICES ET LE MATÉRIEL DE PRÊT A) SATISFERONT VOS EXIGENCES, B) SERONT SANS INTERRUPTION, RAPIDES, SÉCURITAIRES OU EXEMPTS D’ERREURS, C) SERONT EFFICACES, EXACTS, COMPLETS, ACTUELS OU FIABLES OU D) RÉPONDRONT À VOS ATTENTES OU SERONT EXEMPTS D’ERREURS OU DE DÉFAUTS.  L’UTILISATION DES SERVICES AINSI QUE L’ACQUISITION DE MATÉRIEL OU DE CONTENU PAR LES SERVICES, Y COMPRIS, MAIS SANS S’Y LIMITER, LE MATÉRIEL DE PRÊT, SE FONT À VOS PROPRES RISQUES, À SUPPOSER QUE VOUS ACCEPTEZ D’ÊTRE LE SEUL RESPONSABLE DES BLESSURES OU DES DOMMAGES QUI POURRAIENT Y ÊTRE ASSOCIÉS.

10.    CONTENU DE MCGRAW-HILL. LA MÉDECINE EST UNE SCIENCE EN ÉVOLUTION CONSTANTE. LORSQUE DE NOUVELLES RECHERCHES ET EXPÉRIENCES CLINIQUES ÉLARGISSENT LES CONNAISSANCES, LES TRAITEMENTS ET LES PHARMACOTHÉRAPIES DOIVENT ÊTRE MODIFIÉS. COMPTE TENU DE LA POSSIBILITÉ D’ERREUR HUMAINE OU DES CHANGEMENTS DES SCIENCES MÉDICALES, NI BIBLIOTHECA, NI MCGRAW-HILL, NI LEURS CONCÉDANTS DE LICENCES NE GARANTISSENT QUE LES RENSEIGNEMENTS QUI SE RETROUVENT DANS LE CONTENU DE MCGRAW-HILL SONT EXACTS OU COMPLETS SUR TOUS LES PLANS, ET ILS NE SONT PAS RESPONSABLES DES ERREURS, DES OMISSIONS, NI DES RÉSULTATS OBTENUS PAR L’UTILISATION DE CES RENSEIGNEMENTS. LES UTILISATEURS SONT ENCOURAGÉS À VALIDER DANS D’AUTRES SOURCES LES RENSEIGNEMENTS QUI SE RETROUVENT DANS LE CONTENU DE MCGRAW-HILL. PAR EXEMPLE, ET SURTOUT, IL EST CONSEILLÉ AUX UTILISATEURS DE CONSULTER LE FEUILLET D’INFORMATION SUR LE PRODUIT INCLUS DANS L’EMBALLAGE DE CHAQUE MÉDICAMENT QU’ILS PRÉVOIENT ADMINISTRER POUR S’ASSURER QUE LES RENSEIGNEMENTS FIGURANT DANS LE CONTENU DE MCGRAW-HILL SONT EXACTS ET QUE DES MODIFICATIONS N’ONT PAS ÉTÉ APPORTÉES À LA DOSE RECOMMANDÉE OU AUX CONTRE-INDICATIONS D’ADMINISTRATION. CETTE RECOMMANDATION EST PARTICULIÈREMENT IMPORTANTE POUR LES MÉDICAMENTS NOUVEAUX OU PEU UTILISÉS. NI BIBLIOTHECA, NI MCGRAW-HILL, NI LEURS CONCÉDANTS DE LICENCE NE PEUVENT ÊTRE TENUS RESPONSABLES PAR L’UTILISATEUR, UN AUTRE UTILISATEUR OU UNE AUTRE PERSONNE POUR L’INEXACTITUDE, LES DÉLAIS, LES INTERRUPTIONS DE SERVICE, LES ERREURS OU LES OMMISSIONS, PEU IMPORTE LA CAUSE, NI POUR LES DOMMAGES EN DÉCOULANT. 

11.    LIMITATION DE RESPONSABILITÉ.   DANS LA MESURE MAXIMALE PERMISE PAR LA LOI, NI BIBLIOTHECA, NI SES CONCÉDANTS DE LICENCE, NI SES FOURNISSEURS DE SERVICES NE PEUVENT ÊTRE TENUS RESPONSABLES DES DOMMAGES, Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOMMAGES DIRECTS, SPÉCIAUX, ACCESSOIRES, INDIRECTS OU CONSÉCUTIFS (Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOMMAGES POUR BLESSURES PERSONNELLES, PERTES DE PROFITS COMMERCIAUX, INTERRUPTION DES AFFAIRES, PERTES DE DONNÉES, PERTES DE RENSEIGNEMENTS COMMERCIAUX OU CONFIDENTIELS, PERTE DE CONFIDENTIALITÉ OU AUTRES PERTES FINANCIÈRES), DÉCOULANT DE L’UTILISATION DU SERVICE AINSI QUE DES PRODUITS ET DES SERVICES CONNEXES OU DE L’IMPOSSIBILITÉ DE LES UTILISER, MÊME SI BIBLIOTHECA, SES CONCÉDANTS DE LICENCE OU SES FOURNISSEURS DE SERVICES ONT ÉTÉ INFORMÉS DE LA POSSIBILITÉ DE CES DOMMAGES. EN AUCUN CAS LA RESPONSABILITÉ CUMULATIVE DE BIBLIOTHECA, DE SES CONCÉDANTS DE LICENCE OU DE SES FOURNISSEURS DE SERVICES DÉCOULANT DU SERVICE, DU SITE OU DU PRÉSENT CONTRAT NE PEUT DÉPASSER CENT DOLLARS (100,00 $). COMME CERTAINES JURIDICTIONS NE PERMETTENT PAS L’EXCLUSION OU LA LIMITATION DE RESPONSABILITÉ, LES LIMITATIONS CI-DESSUS PEUVENT NE PAS S’APPLIQUER À VOUS.  

12.    Collecte et utilisation des renseignements.   La collecte et l’utilisation de vos renseignements personnels, y compris les renseignements du compte et les renseignements fournis par l’intermédiaire de votre logiciel d’application, sont régies par la politique de confidentialité de cloudLibrary . De plus, bibliotheca peut partager vos renseignements personnels avec des prêteurs et des fournisseurs de services afin de vous offrir les services, de confirmer l’état de votre compte auprès d’un prêteur, de vérifier votre conformité avec le présent contrat et les politiques de prêt applicables, et de communiquer avec vous au sujet des services et de votre compte.

13.    Indemnisation.   Vous acceptez d’indemniser et de dégager de toute responsabilité bibliotheca, ses sociétés mères, ses filiales, ses sociétés affiliées, ses fournisseurs de services, ses représentants et ses employés pour les obligations, les réclamations, les frais ou les demandes, y compris les honoraires d’avocat raisonnables, provenant d’un tiers en raison ou du fait de ce qui suit : a) votre utilisation ou votre mauvaise utilisation des services; b) toute utilisation des services d’une manière contraire aux lois, aux règlements, à la règlementation ou aux conditions d’utilisation; c) votre utilisation des services afin d’enfreindre les droits sur la propriété intellectuelle ou les droits d’une autre personne ou entité. bibliotheca et ses fournisseurs de services se réservent le droit, à leurs propres frais, d’assumer la défense et le contrôle exclusifs de toute affaire pouvant donner lieu autrement à une indemnisation de votre part, auquel cas vous coopérerez aux défenses disponibles.

14.    Droit applicable et honoraires d’avocat. Le présent contrat est régi par les lois de l’État du Minnesota, États-Unis, à l’exclusion des dispositions relatives aux conflits de lois et de la Convention des Nations unies sur les contrats de vente internationale de marchandises. L’utilisateur consent à ce que la compétence et le lieu de résolution relèvent des tribunaux d’État et fédéraux situés dans le comté de Ramsey, Minnesota, États-Unis, et accepte que tous les litiges découlant du présent contrat soient entendus par ces tribunaux. Dans le cadre des actions ou des poursuites visant l’application d’un droit ou d’un recours en vertu du présent contrat ou l’interprétation d’une disposition du présent contrat, la partie gagnante a le droit de se faire rembourser les coûts déboursés, y compris les honoraires d’avocat raisonnables.

15.    Bénéficiaires tiers.   Vous reconnaissez que les services peuvent être fournis par des fournisseurs de services tiers, en totalité ou en partie, et acceptez que ces fournisseurs de tiers sont les bénéficiaires du présent contrat et ont le droit d’appliquer directement aux utilisateurs les modalités du contrat.

16.    Généralités.   bibliotheca et ses fournisseurs de services ne peuvent être tenus responsables des délais dans l’offre des services causés par des conditions en dehors de leur contrôle raisonnable. Si des dispositions des conditions d’utilisation sont, pour une raison quelconque, jugées non valides, illégales ou inapplicables par un tribunal compétent, ces dispositions seront jugées dissociables, et cette non-validité, illégalité ou non-applicabilité n’affectera pas les autres dispositions, qui seront toutes applicables.  Le présent contrat constitue la totalité du contrat et de l’entente entre les parties en ce qui concerne son contenu et a préséance sur les contrats et les ententes conclus antérieurement par les parties à cet égard. Aucune partie ne se servira de garantie ou d’autres déclarations non contenues dans les présentes.  Le manquement par bibliotheca d’exiger une stricte adhérence aux présentes ne constitue pas une renonciation au droit, par bibliotheca, d’exiger subséquemment une telle stricte adhérence. Les représentations, garanties, indemnisations et autres engagements contenus dans les présentes survivront dans la pleine mesure nécessaire pour protéger la partie privilégiée.  Le présent contrat ne peut pas être transféré ni assigné sans le consentement explicite écrit de bibliotheca.
